Terms of Service

These terms are provided on an interim basis and may be updated following legal review.

These Terms of Service ("Terms") govern your use of the websites and services of Archive Owl, a service of Schram Studio, Inc., a California corporation, doing business as Archive Owl ("Archive Owl," "we," "us"). By accessing archiveowl.com, app.archiveowl.com, or using our services (together, the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Archive Owl provides existing-conditions documentation and as-built services, including site capture, 3D scanning, drawings, and related deliverables, along with an online platform for storing and organizing property records. Specific deliverables, timelines, and fees for documentation work are set out in the individual proposal or statement of work agreed between you and Archive Owl, which is incorporated into these Terms for that engagement. If a signed proposal or master services agreement conflicts with these Terms, that document controls for that engagement.

2. Accounts

To use the platform you must create an account and provide accurate information. You are responsible for safeguarding your login credentials and for activity under your account. Notify us promptly of any unauthorized use. You must be at least 18 years old to use the Service.

3. Your Content

You retain ownership of the content you provide, including files, drawings you supply, photographs, documents, and information you upload ("Your Content"). You grant Archive Owl a limited license to host, store, process, and display Your Content solely to provide and improve the Service, including processing files through third-party infrastructure and AI services as described in our Privacy Policy.

You are responsible for having the rights necessary to upload Your Content and for ensuring it does not infringe others' rights or violate law.

4. Deliverables and Ownership

All documents, drawings, scans, models, and other Instruments of Service created by Archive Owl remain the property of Archive Owl. Upon full payment, you are granted a limited, non-exclusive license to use the deliverables solely for purposes related to the subject property. You may not reuse, distribute, or modify the deliverables for other projects or purposes without Archive Owl's prior written consent. These website Terms are consistent with, and do not replace, the Standard Terms and Conditions incorporated into your project's proposal or letter agreement, which govern the documentation engagement itself. Archive Owl may retain an archival copy of deliverables and project data, which shall govern in any dispute, and may use de-identified project information to improve its services.

Deliverables are prepared for informational and general reference purposes based on visible and accessible conditions at the time of survey. They are not intended for permitting, construction, or regulatory approval without field verification and review by a licensed professional, and existing-conditions measurements are approximate.

5. Acceptable Use

You agree not to use the Service unlawfully; upload malware or attempt to breach security; access another user's account or data without authorization; scrape, reverse-engineer, or resell the Service; or upload content that is illegal or infringing.

6. Fees and Payment

Fees for documentation services are set in each proposal. Platform subscription fees, if any, will be disclosed before you incur them. Fees are non-refundable except as required by law or expressly stated in a proposal.

7. Third-Party Services

The Service relies on third-party providers, including Amazon Web Services, Google, and property-data providers. Your use may be subject to those providers' terms, and we are not responsible for their acts or omissions.

8. Disclaimers

The Service is provided "as is" and "as available." While Archive Owl uses professional care in producing documentation, existing-conditions deliverables are representations based on site capture and are not a substitute for independent verification where field-critical dimensions, structural, or code-compliance decisions are involved. To the fullest extent permitted by law, Archive Owl disclaims all warranties not expressly stated in a signed proposal, including implied warranties of merchantability and fitness for a particular purpose.

9. Limitation of Liability

To the fullest extent permitted by law, Archive Owl's total liability arising out of or relating to the Service or any engagement will not exceed the amount you paid to Archive Owl for the specific engagement giving rise to the claim. Archive Owl will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data.

10. Indemnification

You agree to indemnify Archive Owl against claims arising from Your Content, your use of the Service, or your breach of these Terms.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or as needed to protect the Service. Provisions that by their nature should survive termination, including ownership, disclaimers, limitation of liability, and indemnification, survive.

12. Changes

We may update these Terms. We will post the updated version with a new effective date and, for material changes, provide notice through the Service. Continued use after changes take effect constitutes acceptance.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. The parties will attempt to resolve disputes through good-faith negotiation first. If not resolved, disputes shall be submitted to binding arbitration in Los Angeles County, California, administered by JAMS or a mutually agreed-upon provider.
